1. Print out this entire document, fill it out, and sign it on Page 3. Scan or photograph all 11 pages of the form and have the contestant send it via email to MinelabEventsUS@minelab.com.

2. PARENTAL CONSENT AND WAIVER AND RELEASE (Contestant)

This Parental Consent and Waiver and Release (“Agreement”) is between Minelab Americas, Inc. (“Minelab”) and you, as parent or legal guardian of the child named below who would like to be eligible to participate in the 2023 Minelab Masters of Metal Detecting Contest (“Contest”) which is described in the Contest Official Rules below.

Your child will not be eligible to participate in this Contest unless you complete this form.

YOUR CONSENT AND AGREEMENT

1. You warrant that your child is eligible to participate in the Contest under the Contest Official Rules below.

 

2. You understand and permit your child to participate in the Contest and you and your child agree to be bound by the Contest Official Rules.

 

3. If your child is selected as a Regional Event Winner or Second Place Runner-Up, you understand that your child, accompanied by one parent or legal guardian, will be invited to travel to Lineville, Alabama, on or about November 11, 2023 subject to the Contest Official Rules. You acknowledge that you have a medical insurance policy and that such insurance will be your primary source of payment should medical treatment be necessary as a result of you (or other parent/guardian) and your child’s participation in the trip.

 

4. You give permission to Minelab and its subsidiaries, affiliates, licensees, successors, and assigns to make and have made audio, visual, and audiovisual recordings (in any format or media) of your child and you (if you accompany your child) while participating in the Regional Events or National Championship Round Event (the “Recordings”).

 

5. You grant Minelab a worldwide, sublicensable, transferable, perpetual, irrevocable, unrestricted license to reproduce, prepare derivative works of, distribute, publicly perform, publicly display, and otherwise use the Recordings and your child’s name and entries to the Contest to promote Minelab, this Contest, and Minelab’s products without compensation to you or your child.

 

6. YOU HEREBY WAIVE AND RELEASE, and forever discharge Minelab and its agents, promoters, employees, officers, directors, affiliates, successors, and assigns, of and from any and all claims, demands, causes of action, lawsuits, damages and liabilities, of every kind and nature, whether known or unknown, in law or equity, that you or your child ever had or may have, arising from or in any way related to you and your child’s participation in the Contest or a prize.

 

7. This Agreement sets out all terms agreed between the parties and supersedes all other agreements between you and Minelab relating to the Contest. This Agreement will continue in full force and effect after the Contest ends. Any modifications to this Agreement 

must be agreed by both you and Minelab in writing and expressly state that it is amending this Agreement.

 

8. By signing below, you acknowledge that (i) you have read, understand and fully agree to the terms of this Agreement; and (ii) you understand and confirm that by signing this Agreement you have given up considerable future legal rights.

2023 Minelab Masters of Metal Detecting Competition

OFFICIAL RULES

 

BY ENTERING THE COMPETITION, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT. $100 USD ENTRY FEE AND PRE-REGISTARION REQUIRED TO ENTER OR WIN. THE PURCHASE OF ANY GOOD(S) OR SERVICE(S) WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. Prior to competing in the Minelab Masters of Metal Detecting Competition, all participating team members must read the Rules and each team must sign the Acknowledgement of the Rules, thereby accepting and being held responsible for the Official Rules during game play. Failure to follow the rules may lead to disqualification of the whole team.

1. CONTEST PERIOD: The 2023 Minelab Masters of Metal Detecting Competition (the “Contest”) begins at 8:00 am EST on 08/05/2023 and ends at 11:59 pm EST on 11/12/2023 (the “Contest Period”). Sponsor’s computer is the official clock for the Contest.

Three (3) Regional Event Competitions (“Regional Events”) will be conducted during the Contest Period as determined by Sponsor, listed below. Conflicts with scheduling of the Regional Events will be resolved by the Sponsor.

 

· Regional Event 1: New York - August 5, 2023

· Regional Event 2: Florida - October 7-8, 2023

· Regional Event 3: Arkansas - October 13-15, 2023

 

The National Championship Round to determine the final Winner will be conducted in Alabama at the Alabama Gold Camp event on November 11-12, 2023.

If a Regional Event cannot be held, the Sponsor will reschedule it for another time, if possible. If the Regional Event cannot be rescheduled, there will be no Winning Team from that Regional Event attending the National Championship Round.

2. ELIGIBILITY: Each Team must have at least one VLF metal detector of their own. Contest is only open to legal residents of the 50 U.S. States or D.C., who have reached the age of majority in their state of residence as of the date of Entry, or if under the age of majority, have provided the required legal parental consent form (“Entrant”). Employees of Sponsor and its affiliates, subsidiaries, divisions, fulfillment and advertising and promotion agencies (“Contest Entities”), their immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside), and those living in the same household of each such individual, whether or not related, and Contest volunteers are not eligible to enter or win. All applicable federal, state, and local laws and regulations apply.

 

3. HOW TO ENTER AND METHODS OF COMPETITIONS:

I. METHOD OF ENTRY: There is one (1) method of Entry for this Contest. Each Entrant (Team) must pre-register for the Contest by completing both of the following (the “Entry”):

 

a. Pay a team registration fee of $100 USD using link in the Registration Form. This pre-registration fee is non-refundable unless a Regional Event venue is changed by Sponsor and the team chooses not to participate; and

b. Submit a Team Registration Form, located at https://www.minelab.com/usa/masters-of-metal, providing the following:

 

i. Team name;

ii. Selection of Regional Event in which the Team will participate. Each Team may register for only ONE (1) Regional Event;

iii. Photo of Team;

iv. Team captain’s full name, cell phone number, email address, home address, and t-shirt size;

v. Full name, email address, phone number, and t-shirt size for each Team member and alternate team member; and

vi. Signed Parental Consent form if participant is 16 years or less in age (send via email to MinelabEventsUS@minelab.com);

vii. Check box for acknowledgement and agreement of Terms & Conditions.

 

Multiple Entrants are not permitted to share the same email address. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different accounts, email addresses, identities, registrations and logins, or any other methods will void that Entrant’s Entry and that Entrant may be disqualified. Each potential winner may be required to show proof of being an authorized account holder. In the event of a dispute regarding the identity of a User, a person who can demonstrate the ability to log into the applicable account with the correct username and password will be deemed the User who submitted the entry. Sponsor will message Entrant via email for verification. Facebook, Instagram, YouTube, and TikTok, and any other third parties are not sponsors, do not endorse, and are in no way affiliated with the Contest.

Sponsor has the sole discretion to determine whether an Entry is eligible. Automated, script, macro, or robotic Entries submitted by individuals or organizations will be disqualified. Any Entry not in compliance with these Official Rules will be disqualified. By entering, you agree to waive any rights you may have to the Entry submitted.

II. OFFICIALS

 

a. Judges – Sponsor will select Judges for the Contest Events; the judges will be volunteers from local clubs, dealers, detexperts, etc.

 

b. Minelab Employees – A minimum of 2 Minelab Employees will be on site for each Regional Event and the Championship Round Event to keep time, keep/tally score, handle any issues, and ultimately, to announce the Winners and runners-up.

 

III. TEAMS

 

Each Team will consist of four (4) team members and one alternate member. There must be a minimum of twenty (20) total teams and thirty (30) maximum teams participating in each Regional Event. Registration for each Regional Event will automatically cut off at thirty (30) teams. If there are less than 20 teams registered before any Regional Event, Sponsor will select a new venue, if possible, and inform all Entrants. Previously registered teams may choose to participate in the alternate location, or they may elect to opt out and receive a full refund of their Entry Fee.

 

IV. PROCEDURE OF PLAY DURING EACH REGIONAL EVENT AND CHAMPIONSHIP ROUND

 

The Contest will consist of three (3) Regional Events throughout the U.S. on different dates, and a Championship Round Event to determine the final Winner (“Contest Events”). The top three winning teams from each Regional Event will be invited to participate in the Championship Round Event.

Sponsor will announce the specific location address and further detail for each Regional Event on its website and social media accounts.

Each Regional Event and the Championship Round Event will consist of three competitions:

1. Token Hunt

o A pre-determined amount of tokens will be buried prior to the event.

o One member of each team will participate simultaneously for a specified time limit. At the conclusion of the time limit, the 2nd member of each team will enter, and this will be repeated for all 4 members. A maximum of 30 people (1 from each team) will be allowed on the field at a time.

· Member 1 from each team will have 5 minutes on field

· Member 2 from each team will have 10 minutes on field

· Member 3 from each team will have 20 minutes on field

· Member 4 from each team will have 25 minutes on field

 

o Once a team has concluded, they will take the recovered tokens to the Judges table to be tallied. Each participant will sign upon conclusion of agreed amount counted. No additional tokens can be submitted once a team member has already been tallied.

o After all team members have submitted tokens and counts are completed, Judges will combine each team’s totals for ranking of this competition. Specifically, each Team will receive between 1 and 30 points, depending how many tokens the Team found and how many Teams registered to participate. For example, if there are a total of 30 teams participating, the winning team (i.e. Team that found the most tokens) will receive 30 points, the second-place team (found second most tokens) will receive 29 points, and so on in descending order.

o This competition will run for a total of 1 hour.

2. Identify the Target

o Teams will either receive a scheduled time to report or will be able to sign up at registration for time to participate

· Each team member will be escorted into a sectioned off area that will contain a number of buried items. Individuals will receive a card with 20 open spots on one side, and the other side of card will contain 25-30 possible items, each with a designated letter. After listening to the target, the contestant will choose one of the possible items and place the corresponding letter next to the corresponding target spot.

· Each member will receive a total of 5 minutes to identify as many targets as possible. Those finishing prior to the end of the 5 minutes may stop the clock for additional points.

· Each contestant will be monitored by a Judge during the event.

o Teams will receive 2 scores, one for accuracy and one for total time taken. Specifically, for the accuracy score, teams will receive between 1 and 30 points for the number of correct answers. For the total time taken score, teams will receive between 1 and 30 points, in descending order based on how much time it took the team in total, with the most points assigned to the team taking the least time and the least points assigned to the team taking the most time.

3. Claim Jumper

o An area of the field will be sectioned off into (4) four sections.

o 1 member of each team will be located in each section.

o Individuals in section 1 will need to recover a specific token, in order for the team member in section 2 to begin, and so on.

o Team placement/rank will be determined by which team completed task in the quickest amount of time. In other words, if there are 30 participating teams, the first team to find all four targets will receive 30 points, the second team to find all four targets will receive 29 points, and so on.

o After 30 minutes of time, any teams still remaining on the field will be allowed to have all team members enter the field and look for remaining targets.

o At the conclusion of 1 hour, any teams still remaining on the field will receive the following points:

· 0 tokens – no points awarded

· 1 token – 1 point awarded

· 2 tokens – 2 points awarded

· 3 tokens – 3 points awarded

On the completion of all Events, the Judges will compile the results to determine the Winners and Runners up for the Regional Events, and then the final Winner after the Championship Round. In the event of a tie among either the first, second, or third place winners of the Regional Events or winners of the Championship Round, a playoff event will be held.

LIMITS: There is a limit of one (1) Entry per individual or Team per Regional Event, for the entire Contest Period. All Entries become the property of Sponsor and will not be acknowledged or returned. Multiple Entrants are not permitted to share the same email address. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations, logins, or any other methods will void that Entrant’s Entry and that Entrant may be disqualified. Each potential winner may be required to show proof of being an authorized account holder. Sponsor has the sole discretion to determine whether an Entry is eligible. Any Entry not in compliance with these Official Rules will be disqualified. By entering, you agree to waive any rights you may have to the Entry submitted.

ENTRANT DATA AND PRIVACY: By submitting an Entry, including any prize notification documents (“Entrant Data”), Entrant consents to the use of his/her name, social media account name and handle, company name, address, biographical information, including city and state of residence, and testimonial for use, including commercial use, for promotional purposes by Sponsor and its designees, including but not limited to the posting of Winner’s name, or social media account name or handle, on the Sponsor website or social media accounts, and in a Winners List, without additional compensation to Entrant, except where prohibited by law (“Advertising”). Each winning Entrant hereby disclaims and waives any claim of right to such Advertising, or any claim of control over the Advertising content, including any possible claims of misuse of Winner’s name, likeness or voice under contract, tort or any other theory of law. Any Entrant Data shall be used in a manner consistent with the consent given by Entrants at the time of Entry, with these Official Rules, and with Sponsor’s Online Privacy Policy, which can be found at https://www.minelab.com/usa/privacy-legals. It is the general policy of Sponsor not to share personally identifiable information with third parties.

NOTE ABOUT INTERNET: Normal Internet access, data, and usage charges imposed by your Internet service provider may apply.

 

NOTE ABOUT MOBILE: If Entrant opts to participate in this Contest via their mobile device, standard data charges may apply for data sent or received from Entrant’s device according to the terms and conditions of Entrant’s service agreement with Entrant’s wireless carrier. Other charges may apply (such as normal airtime, data charges, and carrier charges) and may appear on Entrant’s mobile phone bill or be deducted from Entrant’s prepaid account balance. Wireless carriers’ rate plans or data plans may vary, and Entrant should contact Entrant’s wireless carrier for more information on charges relating to Entrant’s participation in this Contest. Participation in this Contest by mobile phone means that Entrant understands that Entrant may receive additional data from Sponsor relating to this Contest, including notifications to Entrant if Entrant is a potential winner in this Contest, which will be subject to the charges pursuant to Entrant’s carrier's rate plan. Cell phone/internet service may not be available in all areas. Entrant should check Entrant’s phone's capabilities for specific instructions.

4. PRIZES:

PRIZE DETAILS:

· Regional Events: For each of the three Regional Events, there will be a first-place, a second-place, and a third-place winning team (“1st Place Winning Team” and “2nd Place Winning Team” and “3rd Place Winning Team”). The 1st Place Winning Teams will receive (1) a medal, and (2) $2,500 USD total for use as compensation toward travel to Championship Round. The 2nd Place Winning Teams will receive (1) a medal, and (2) $1,500 USD total for use as compensation toward travel to Championship Round. The 3rd Place Winning Teams will receive (1) a medal, and (2) $1,100 USD total for use as compensation toward travel to Championship Round. The winners are solely responsible for any taxes on the prize.

 

· National Championship Round Event: Each member and alternate member of the Championship Round winning team will receive (1) a trophy, and (2) a Minelab MANTICORE™metal detector. The approximate retail value (“ARV”) of the prize is U.S. $1,599 USD. The Winners are solely responsible for any taxes on the prize. Sponsor is not responsible for any defects to any Prizes given to recipients.

 

PRIZE AWARDING: All Prizes will be awarded, provided more than enough entries have been received. Sponsor will not replace any lost or stolen prize. No transfers, cash awards, or prize substitutions are permitted, except by Sponsor. Sponsor reserves the right to substitute a prize with one of comparable or greater value, at its sole discretion. Prize awarded is subject to verification of eligibility and compliance with these Official Rules. Prize winner may be required to sign an affidavit of eligibility, liability release, and where legal, a publicity release (collectively, the “Affidavit”), and return the same, properly executed, within seven (7) days of issuance of notification (TN residents need not sign the publicity releases). If a Potential Winner cannot be contacted after a reasonable number of attempts; is ineligible according to these Official Rules; fails to provide the required information and/or return any required Affidavit documents within the specified time period; if a prize or prize notification is returned as undeliverable; a potential winner decides to decline his/her prize for any reason whatsoever; or if a potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit his/her prize and the prize may be awarded to the next runner-up, in the Sponsor’s sole discretion. Upon disqualification of any team member, the entire team will be disqualified and no compensation will be given, at the Sponsor’s sole discretion. Once any required information and Affidavit are received within the specified time period, verified, and receive final approval by Contest Entities, then and only then will a potential Contest Winner become an actual Winner. Prize will be awarded in the name of the Winning Team. Decisions of the Sponsor are final in all respects of the Contest.

PRIZES WILL BE ACCEPTED “AS IS” WITH ONLY THE MANUFACTURER’S 3-YEAR WARRANTY THAT ACCOMPANIES THE MANTICORE PRODUCT. Winners will not be obligated to purchase any Sponsor products or services. Entrants indemnify, release, and hold harmless Contest Entities from losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, or possession of the Prize resulting from participating in this Contest. Entrant acknowledges and agrees that Sponsor has not arranged for nor carries any insurance of any kind for the benefit of Entrant or that of Entrant’s heirs, executors, and administrators relative to Entrant’s use of the Prize awarded to Entrant; and that Entrant is solely responsible for obtaining and paying for any insurance relative to the Prize awarded to Entrant.

5. CONDITIONS OF ENTRY: Neither the Sponsor nor the Contest Entities are responsible for incorrect or inaccurate transcription of entry information, or for any human or printing error in these rules or any promotional materials, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, or any other error or malfunction, or any injury or damage to Entrant’s or any other person’s computer related to or resulting from participation in the Contest, or for late, lost, stolen, illegible or misdirected entries. Entry materials that have been tampered with or altered are void. If, in the Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Contest, or if any difficulties compromise the administration, security, fairness, integrity, or proper conduct of the Contest, the Sponsor reserves the right to void any entries at issue and/or to suspend, modify, cancel, or terminate the Contest, in whole or in part, at any time without notice and award the prize from among all non-suspect, eligible entries received as of the termination date. In case of a dispute as to the owner of an Entry, Entry will be deemed to have been submitted by the authorized account holder. In the event of time of war, pandemics or health emergencies, national emergency, accident, dangerous weather conditions, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism, or other matters beyond the Sponsor's reasonable control, Sponsor has the right, in its sole discretion, to terminate the Contest. Notice of such action will be posted online at https://www.minelab.com/usa/masters-of-metal.

CAUTION: ANY ATTEMPT BY A USER, YOU, OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

6. PERMISSIONS/RELEASES: By accepting the Prizes, the Winners agree that Sponsor may use Winner’s name, Entry, photo, and likeness for editorial, advertising and publicity purposes, including, without limitation, posting on Sponsor’s website and/or social media accounts, without further compensation, except where prohibited by law. All Entrants, as a condition of participation in this Contest, agree to release, hold harmless and indemnify the Contest Entities from and against any and all liability, claims, damages, costs, attorney’s fees, and/or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained, in whole or in part, directly or indirectly, by any person or entity, including, without limitation, Entrants, Sponsor, Volunteers, and/or other Contest Entities, resulting from or in connection with (i) participation in any aspect of the Contest, (ii) the Entry and content of the Entry (including, without limitation, claims for copyright infringement or infringement or dilution of intellectual property rights of any kind), (iii) the receipt, ownership or use of the prize awarded, including any travel associated with any prize, (iv) Entrant’s registration material on any related website, or (v) any typographical or other error in these Official Rules. Winners assume all liability for any injury, death, or damage caused, or allegedly caused, in whole or in part, by participating in this Contest or receipt, use, or redemption of the Prize(s).

7. DISPUTES: This Contest is conducted in English. Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the participant and Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the laws of the State of Illinois, without giving effect to any choice of law or conflict of law rules (whether of the State of Illinois, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than in the State of Illinois.

BY ENTERING THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FIFTY DOLLARS ($50.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT 

OF POCKET EXPENSES NOT TO EXCEED ONE HUNDRED DOLLARS ($100.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY.

8. DISPUTE RESOLUTION: To the extent permitted by applicable law, the parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in Illinois and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator’s decision and award are final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action, or proceeding arising out of or relating to this Contest shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. ("JAMS") or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a "Demand for Arbitration," then either party can elect to have the arbitration administered by the American Arbitration Association ("AAA") or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Chicago, IL, Washington, DC, New York City, NY, Los Angeles, CA, Atlanta, GA, or Dallas, TX (whichever is closest to Entrant's residence); provided, however, if none of these locations are convenient for the hearing, the parties may mutually agree on an alternative location. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of Illinois. Sponsor agrees to pay the administrative and arbitrator's fees in order to conduct the arbitration (but specifically excluding any travel or other costs of Entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

11. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules or the Affidavit will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. When terms such as "may" are used in these Official Rules, Sponsor has sole and absolute discretion. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest-related materials, privacy policy, or terms of use on Sponsor’s Website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control, and the discrepancy will be resolved in Sponsor’s sole and absolute discretion. All decisions as to these Official Rules and interpretations thereof are exclusively within the sole discretion of Sponsor and may be changed from time to time without notice.
